Art. 1 Art. 1 - A non-profit organization called  (hereinafter ) is hereby constituted. The Centre's registered office shall be in Florence, Via Tornabuoni, 17.

Art. 2 Art 2 - The purpose of the Centre is the promotion and development of relations, at an international level, among Universities, Institutions, scholars and others, related to the study and exchange of knowledge in the sector of urban design.

In order to carry out is purpose, the Centre Can:

a) - establish data archivies and collect documents relative to scientific, teaching and operative output at an international level;

b) - sponsor exhibitions, conventions, seminars, and research;

c) - organize courses of study at a university level as well as post-graduate specialization;

d) - institute prizes for urban design reserved for students of the university faculty as well as for professionals and others working in the field;

e) - publish essays, monographs, the minutes and speeches presented at conventions, catalogues articles, and in general studies concernig the theme of urban design;

f) - undertake any other iitiative related to the promotion of the study of urban design and its diffusion.

Art. 3 Art. 3 - The activity of the Centre shall continue for an indeterminate period of time.

Art. 4 Art. 4 - The Centre shall have the following administrative branches:

a) - the members Assembly;

b) - one President and three Vice-President;

c) - Board of Directors;

d) - Secretary (when designated);

e) - Scientific Comittee.

Members of the elected branches shall hold office for three years and can be reelected.

Art. 5 Art. 5 - Anyone, and any University and Institutions, by reason of specific academic competency, interested in the goals of the Centre, is eligibile to requested membership. New members must be presented to the Board of Directors by an existing member. The former shall examine the curriculum and the request for memberschip and, upon majority vote of those present, approve the admission.

Art. 6 Art. 6 - The general meeting of the members shall be called by the President or, in his stead, by one of the Vice-President at least thirty days prior.

The meeting shall be presided over by the President or by one of the Vice-Presidents. Deliberations shall be reached by a majority of those having the right to vote. Voting by proxy is admissible.

The assembly shall approve the budget and the Centre's annual activities programmes and shall appoint the members of the Board of Directors.

The Assembly shall consist of all members who have timely paid the membership fee. This fee shall be established from year to year by the Board of Directors. In addition, the Assembly can appoint honorary members.Extraordinary meetings can also be convened.

Art. 7 Art. 7 - The Board of Directors, elected by the general Assembly and composed of nine members, shall appoint the President and two Vice-President and, when necessary, a Secretary. The Board of Directors shall hold office for three years, and its members can be re-elected.

The Board of Directors, convened by the President or by one-third of its members, shall see to the smooth administration of the Centre, promote and direct its activities, administrate its finances, annualy account for its activities, administrate its finances, annualy account for its management to the General Assembly. The Board shall appoint the members of the Scientific Comittee. To facilitate international relations, the Board reserves the authority to appoint national co-ordinators. The members of the Board of Directors must guarantee their availability to participate in Board meetings even if having only one week prior notice.

A quorum of at least five members is required for the meetings of the Board of Directors.

Art. 8 Art. 8 - The Scientific Commitee shal consist of a maximum number of fifteen members who shall be disegnated by the Board of Directors.

The principal task of the Scientific Committee is the definition of the cultural policies of the Centre, which the Commitee itself shall propose to the Board of Directors.

The Board shall, in turn, propose to Assembly the consequent scientific and operative programmes, the themes of the exhibitions, conventions etc. and all of the Centre's various initiatives.

Art. 9 Art. 9 - The President is elected by the Board of Directors. He/she shall be the legal signature. He/she shall preside over the Assembly, and as well over Board of Directors, coordinating activities and over-seeing the execution of the Board's decisions.

Art. 10 Art. 10 - The Secretary is appointed by the Board of Directors. He/she shall be responsible for the co-ordination of the activities of the Board of Directors.

Art. 11 Art. 11 - The financial resources for the promotion of institutional projects shall be provided by contributions-whether annual or special-from the Ministries, Regions, Local Authorities, and by every other contribution made by institutions or individuals located either in Italy or abroad. They shall furthermore be provided by proceeds of publications produced or edited by the Centre, and by proceeds of pubblications produced or edited by the Centre, and by membership fees specified in art. 6 above.

Art. 12 Art. 12 - Any modification of these articles, including the dissolving of the Centre, must be approved by teh Assembly with a two-thirds of majority vote of its members.

Art. 13 Art. 13 - For all matters not dealt with in these Articles of Association, reference shall be made to the laws in force.
